A legal disclaimer
1. Definitions
1.1 In these Terms and Conditions, “Eloquently Designed, Inc.” or “we,” “us,” or “our” refers to the stationery business registered and operating in Middle Island, New York.
1.2 All quotes, sales, services, and agreements relating to the supply of our products (referred to as “the Goods”) are governed exclusively by the terms outlined below. Any alternate terms proposed by the customer (“you” or “the Customer”)—whether in writing, conversation, or prior dealings are not binding unless formally agreed to in writing.
1.3 By placing an order with us, you agree to these Terms and acknowledge that no other representations, verbal or written, have influenced your decision.
2. The Goods
All product descriptions, samples, or imagery shared on our website, social media, or promotional materials are intended to give a general sense of our offerings. Because we use premium, often natural materials (such as specialty papers, inks, or foil), slight variations in color, texture, or finish are to be expected and celebrated as part of their handcrafted charm.
3. Orders
All orders must be confirmed in writing either through our website, via email, messenger or text and are subject to the terms outlined in this agreement. No order will be considered final until we have confirmed receipt of approval and accepted your final payment. All Final payments are due before going to print.
4. Pricing
4.1 All pricing is quoted and is based on our current pricing at the time your order is confirmed.
4.2 Prices are exclusive of applicable sales tax 8.75% and shipping fees, which will be added at checkout and/or invoiced separately.
4.3 We reserve the right to update our pricing prior to final approval and payment, should there be changes in production costs, shipping fees, or customization requests. We will always notify you in writing of any price change before proceeding.
5. Payment Terms
5.1 A 50% deposit is required to confirm your order and begin the design process.
5.2 The remaining balance is due upon final proof approval, prior to production and shipping. We are unable to send your order to print without full payment.
5.3 Payments can be made securely via credit card, e-transfer, bank transfer, check, Zelle, Venmo or Cash App. Details will be provided upon request. Credit Card payments are subject to 3-4% processing fees.
5.4 If your balance remains unpaid for more than 30 days after final approval, we reserve the right to cancel your order and retain your deposit to cover costs incurred.
6. Risk & Ownership
6.1 Once your order leaves our studio or is marked ready for pickup, all risk of loss or damage transfers to you.
6.2 Ownership of the Goods remains with Eloquently Designed, Inc. until your order is paid in full.
7. Samples & Items on Approval
7.1 If we provide samples for review, they remain the property of Eloquently Designed, Inc. unless purchased.
7.2 All samples must be returned within 7 days unless otherwise agreed upon. Items returned late, damaged, or in unsellable condition will be charged at full price.
8. Delivery
8.1 Delivery timelines are estimates and not guaranteed. We always do our best to meet your preferred timelines, but delays may occasionally occur due to unforeseen circumstances.
8.2 All shipping costs are quoted based on standard delivery from our Middle Island studio. We include packaging and insurance with every shipment.
8.3 Please inspect your order upon arrival. If anything appears damaged, let us know right away (within 24 hours of delivery) with photos and details so we can assist.
9. Warranty & Liability
9.1 We take great pride in the quality of our work. If you receive items with a manufacturing defect, let us know within 24 hours, and we’ll make it right.
9.2 We cannot accept responsibility for errors approved in the final proof, damage caused by improper storage, or natural wear and tear over time.
9.3 In no case will our liability exceed the cost of the 50% of the Goods purchased.
10. Cancellations & Returns
10.1 Due to the personalized nature of our products, we do not accept cancellations once production has begun.
10.2 If you wish to cancel your order prior to proof approval, your deposit may be forfeited depending on the stage of design work already completed.
10.3 All cancellation requests must be made in writing. Custom or sale items are non-refundable under any circumstances.
11. Existential Circumstances
Eloquently Designed, Inc. is not responsible for delays or damages caused by events beyond our control—such as extreme weather, shipping disruptions, postal delays, labor disputes, or acts of nature. This is inclusive of our Day-of-Coordinator services & Wedding Planning services.
12. Supply of Customer Materials
If you provide us with any personal items—such as heirloom paper, custom wax seals, or special materials—for use in your order, please note that you do so at your own risk. While we will handle your items with the utmost care, Eloquently Designed, Inc. cannot be held responsible for any loss or damage. We kindly recommend insuring anything of sentimental or monetary value before sending it our way.
13. Insolvency & Default
If a customer enters bankruptcy, becomes insolvent, or otherwise fails to meet their payment or contractual obligations, Eloquently Designed, Inc. reserves the right to cancel any existing orders without notice. In such cases, we may withhold delivery, retain deposits, or reclaim goods not yet fully paid for. These measures are in place to protect the integrity of our service and ensure fair practices for all our clients.
14. Notices
All official communications from Eloquently Designed, Inc. will be sent via email or mail using the contact information you provide at checkout or during correspondence. Notices are considered received once delivered—either immediately via email or within three business days if mailed. Please ensure your contact details are up to date so we can stay connected throughout your ordering process.
15. Governing Law
All purchases and agreements with Eloquently Designed, Inc. are governed by the laws of New York State and the federal laws of the United States applicable therein. By placing an order with us, you agree to submit to the exclusive jurisdiction of the courts located in Suffolk, Nassau, the Five Boroughs and Manhattan for the resolution of any disputes.
